Terms of Service for Nearify

Effective Date: May 1, 2026

Please read these Terms of Service ("Terms") carefully before using the Nearify mobile application operated by Nearify ("we", "our", or "us"). By accessing or using Nearify, you agree to be bound by these Terms. If you do not agree, do not use the app.

1. Acceptance of Terms

By creating an account or using any part of the Nearify service, you confirm that you have read, understood, and agree to these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and Nearify.

2. Eligibility and Age Requirements

You must be at least 13 years old to use Nearify. If you are under 18, you represent that you have your parent's or guardian's permission to use the app. By using Nearify, you represent and warrant that you meet these eligibility requirements. We reserve the right to terminate accounts that do not meet these requirements.

3. Accounts and Authentication

You may sign in using a supported authentication provider (such as Google or GitHub). You are responsible for maintaining the security of your account credentials.
You agree to provide accurate and complete information when creating your profile.
You may not create accounts on behalf of others, impersonate another person, or use a false identity.
You are responsible for all activity that occurs under your account.
Notify us immediately at support@nearify.org if you suspect unauthorized access to your account.

4. Event Participation

Nearify is designed to facilitate networking and connection at events. When participating in events through the app:

You must comply with all rules established by event organizers.
You understand that event check-in and proximity features may make your presence and profile visible to other attendees.
Nearify does not organize, host, or take responsibility for the events listed in the app. Events are created and managed by third parties.
Nearify does not guarantee that you will meet, connect with, or be introduced to any particular attendee at an event.
Nearify makes no guarantee of introductions, meetings, employment opportunities, business outcomes, or networking success of any kind.

5. User Content

You may submit content to Nearify, including your profile information, interests, skills, photos, and messages ("User Content"). By submitting User Content, you:

Grant Nearify a non-exclusive, worldwide, royalty-free license to use, display, and store that content solely to operate and improve the service.
Represent that you own or have the rights to share the content.
Understand that your profile information may be visible to other users within the same event.

We do not claim ownership of your User Content. You may delete your content at any time by deleting your account or contacting us.

6. Messaging and Communications

Nearify enables direct messaging between attendees. You agree that you will not use the messaging feature to:

Send spam, unsolicited promotions, or commercial solicitations.
Harass, threaten, or intimidate any other user.
Distribute malware, phishing links, or harmful content.
Impersonate another person or organization.

We are not responsible for the content of messages exchanged between users. However, we reserve the right to review and remove content that violates these Terms.

7. Acceptable Use Policy

You agree to use Nearify only for lawful purposes and in accordance with these Terms. You agree not to:

Violate any applicable local, state, national, or international law or regulation.
Stalk, harass, abuse, or harm another person.
Collect or store personal data about other users without their consent.
Attempt to gain unauthorized access to any part of the service or its related systems.
Reverse engineer, decompile, or disassemble any part of the app.
Use the app in any manner that could disable, overburden, or impair the service.
Upload or transmit viruses or any other malicious code.
Use the BLE proximity features to track or monitor users without their knowledge.

8. Harassment and Safety

Nearify is committed to providing a safe environment for all users. The following behaviors are strictly prohibited and may result in immediate account suspension or permanent termination:

Harassment, bullying, or intimidation of any user.
Stalking or unwanted repeated contact.
Hate speech or discrimination based on race, ethnicity, gender, sexual orientation, religion, disability, or any other protected characteristic.
Sharing explicit, violent, or otherwise inappropriate content.
Impersonation of other users, event organizers, or Nearify staff.
Spam or repeated unsolicited outreach.

You are solely responsible for your interactions with other users. Nearify does not screen users and makes no representations about the character or conduct of any user. Report concerns to support@nearify.org.

9. Intellectual Property

The Nearify name, logo, app design, and all related materials are the intellectual property of Nearify and are protected by applicable copyright, trademark, and other laws. You may not use, copy, or reproduce any part of the Nearify brand without our prior written consent. Nothing in these Terms grants you any rights in the Nearify intellectual property other than the limited license to use the app.

10. Privacy

Your use of Nearify is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Nearify, you consent to our data practices as described in the Privacy Policy.

11. Third-Party Services

Nearify may integrate with or link to third-party services, including authentication providers (Google, GitHub), hosting and analytics providers, and event platforms. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the practices or content of third-party services.

12. Termination and Suspension

We may suspend or terminate your account at our sole discretion, at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. You may delete your account at any time by following the instructions on our account deletion page. Upon termination, your right to use the app ceases immediately.

13. Beta Software Disclaimer

Nearify may be offered as a beta or early-access product. During this period, the app may contain bugs, experience downtime, or undergo significant changes. Features may be added, changed, or removed without notice. We provide no guarantees about availability, reliability, or continuity during beta periods.

14. Disclaimer of Warranties

THE NEARIFY APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, NEARIFY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEARIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO NEARIFY IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $10 USD, WHICHEVER IS GREATER.

16. Indemnification

You agree to indemnify, defend, and hold harmless Nearify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your User Content, or your interactions with other users.

17. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will update the effective date at the top of this page and may notify you within the app. Your continued use of Nearify after any changes constitutes your acceptance of the new Terms.
